Last Updated: February 17, 2026

PLEASE READ THESE TERMS CAREFULLY. By accessing, browsing, or using Tradence ("Services"), you confirm that you have read, understood, and agree to comply with these Terms and Conditions (the “Terms”). If you do not accept these Terms, you must not access or use the Service.

ACCEPTANCE OF THESE TERMS

These Terms and Conditions (the "Terms") form a binding agreement between you (an individual, or an entity acting through an authorized representative) and TRADENCE (as defined below), together with its affiliates (collectively, "we," "us," "our," or "Tradence").

  • Tradence Technologies Ltd., Victoria, Mahé, Seychelles.

Tradence provides access to its website at https://tradence.com (the "Site"), the TRADENCE mobile application (the "App"), and any related features, tools, content, or services that reference these Terms (collectively, the "Services").

The Services may include: (i) Tradence application programming interfaces (each an "API" and together, the "Tradence APIs"); (ii) platform access and related functionality; (iii) digital asset features (where available) such as placing orders, converting, transferring, or otherwise interacting with supported digital assets (the "Trading Services"); and (iv) other features or services made available from time to time, including through third parties.

Tradence provides a technology platform that may allow eligible users, subject to these Terms and applicable law, to access digital-asset related features, including peer-to-peer (P2P) functionality where offered. Availability may vary by location and eligibility, and we may restrict, suspend, or discontinue any feature at any time.

1. SERVICES OVERVIEW

The Services are provided for lawful use only. The Services are not intended for, and must not be used by, any person or entity in any location where access or use would breach applicable law or regulation, or where making the Services available would require Tradence to obtain a license, registration, or approval.

IF YOU ACCESS THE SERVICES FROM OUTSIDE THE LOCATIONS WHERE WE MAKE THEM AVAILABLE, YOU DO SO AT YOUR OWN INITIATIVE AND YOU ARE SOLELY RESPONSIBLE FOR COMPLIANCE WITH ALL APPLICABLE LAWS AND RESTRICTIONS.

2. INTELLECTUAL PROPERTY

Tradence (or its licensors) owns or is authorized to use the Services, including the software, code, databases, designs, text, graphics, images, audio/video, and other materials made available through the Services (the "Content"), as well as the trademarks, names, and logos used with the Services (the "Marks").

THE CONTENT AND MARKS ARE PROTECTED BY APPLICABLE INTELLECTUAL PROPERTY LAWS. ALL RIGHTS NOT EXPRESSLY GRANTED TO YOU ARE RESERVED.

Subject to these Terms, Tradence grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services, and to download/print Content you are authorized to access for personal, non-commercial use or internal business purposes only.

You must not copy, reproduce, republish, sell, license, distribute, or otherwise exploit the Services, Content, or Marks for commercial purposes without our prior written permission. Requests may be sent to support@tradence.com.

ANY UNAUTHORIZED USE OF THE SERVICES, CONTENT, OR MARKS MAY RESULT IN SUSPENSION OR TERMINATION OF YOUR ACCESS.

User submissions and content

If you send feedback, ideas, or suggestions to Tradence ("Submissions"), you agree we may use them without restriction and without compensation, to the extent permitted by law.

If you post or share content through the Services ("Contributions"), you keep ownership, but you grant Tradence a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, use, reproduce, adapt, publish, display, and distribute those Contributions for operating, improving, and promoting the Services.

You represent that you have the rights to submit your Submissions/Contributions and that they do not violate applicable law or third-party rights. Tradence may remove or restrict content that violates these Terms.

IP complaints

If you believe material on the Services infringes your intellectual property rights, contact us using the details in the "CONTACT" section.

3. USER ACKNOWLEDGEMENTS AND WARRANTIES

By accessing or using the Services, you represent, warrant, and agree that:

  • all information you provide to Tradence (including during registration, onboarding, or any verification process) is true, accurate, current, and complete;
  • you will keep your information accurate and promptly update it when changes occur;
  • you have the legal capacity, authority, and right to enter into these Terms and to comply with them;
  • you meet the minimum age requirement and are not a minor under the laws of the jurisdiction where you live;
  • you will not access the Services using unauthorized automated methods (including bots, scripts, or scrapers), except where we expressly allow it (for example, through approved APIs);
  • you will not use the Services for any unlawful, fraudulent, or unauthorized purpose; and
  • your use of the Services will not violate any applicable laws, rules, or regulations.

If you provide information that is false, inaccurate, out of date, or incomplete, Tradence may, in its discretion, suspend or terminate your account and refuse any current or future access to, or use of, the Services (in whole or in part).

4. ACCOUNT SETUP AND REGISTRATION

Certain features of the Services may require you to create an account. You are responsible for maintaining the confidentiality of your login credentials (including your password) and for all activity that occurs under your account, whether or not authorized by you.

You agree to notify us promptly if you suspect unauthorized access to, or use of, your account. Tradence may require additional information or actions from you to help verify your identity and secure your account.

We may, at our discretion, suspend, change, remove, reclaim, or require you to change a username if we believe it is misleading (including impersonation), violates the rights of others, infringes trademarks, or is offensive, obscene, or otherwise inappropriate.

5. PRODUCTS AND FEATURES

The Services may include products, tools, and platform features made available by Tradence from time to time. Availability may vary by jurisdiction, user eligibility, and operational considerations. We may add, modify, limit, or discontinue any product or feature (in whole or in part) at any time.

Where prices, fees, or charges apply, they may change without prior notice to the extent permitted by applicable law. If a change requires notice or consent under applicable law, we will provide it in the manner required.

6. FEES, BILLING, AND PAYMENTS

Where the Services include paid products or features, you may be able to pay using one or more of the payment methods we make available at checkout, which may include:

  • Visa
  • Mastercard
  • PayPal
  • Paystack
  • Third-party payment gateways
  • Cryptocurrency / digital assets (where supported)

You agree to provide accurate, current, and complete billing and payment information for any transaction you make through the Services, and to keep that information updated (including your email address and payment method details) so we can process transactions and contact you when necessary.

Taxes may be added where required or permitted by applicable law, and you are responsible for any taxes associated with your purchases unless stated otherwise. Prices, fees, and charges may be displayed and processed in one or more currencies, depending on your location and the payment method used.

By submitting a payment, you authorize Tradence (and/or our payment processors) to charge your selected payment method for the total amount due, including applicable taxes and fees, at the time you place your order or otherwise confirm the transaction.

We may correct pricing, fee, or billing errors even after a payment has been requested or processed, to the extent permitted by law. If a correction results in a material change to the amount charged, we will take reasonable steps to notify you and, where required, provide any legally required remedies.

Tradence may refuse, limit, or cancel transactions at our discretion, including where we suspect fraud, unauthorized activity, misuse of payment methods, or violations of these Terms. We may also impose reasonable limits on transaction size, frequency, or quantities per account, per payment method, or per order.

If you believe a transaction was made without your authorization, you should notify us promptly at support@tradence.com.

7. REFUNDS

Unless required otherwise by applicable law, all purchases and payments made through the Services are final and non-refundable.

Where a refund, chargeback reversal, or adjustment is required by law or is approved by us in writing, it will be processed using the original payment method where possible, or by another method we determine is reasonable under the circumstances.

8. RESTRICTIONS AND PROHIBITED USE

You may use the Services only for their intended purpose and in accordance with these Terms. Unless we expressly authorize it in writing, you must not use the Services in connection with commercial activities that are not part of the Services we provide.

As a condition of using the Services, you agree that you will not:

  • extract, scrape, or systematically collect data or content from the Services to build or compile a database, directory, or similar resource without our prior written consent;
  • deceive, defraud, or mislead Tradence or other users, including attempts to obtain passwords, private keys, authentication codes, or other sensitive information;
  • bypass, disable, tamper with, or interfere with any security, access-control, or usage-limiting features of the Services;
  • use the Services in a way that could damage, disrupt, degrade, or impair the Services, our systems, or the experience of other users;

  • frame, mirror, or link to the Services in an unauthorized manner, including creating a confusing or deceptive association with Tradence;
  • upload, transmit, or distribute malware (including viruses, trojans, worms), or engage in spamming, flooding, or other abusive messaging intended to disrupt the Services or users;
  • use automated means to access or interact with the Services (including bots, scrapers, spiders, or data-mining tools) except where permitted through approved APIs or written authorization;
  • remove, obscure, or alter copyright, trademark, or other proprietary notices displayed in the Services or in any Content;
  • impersonate any person or entity, misrepresent your affiliation, or use another user’s account, identity, or credentials;
  • deploy tracking or collection mechanisms designed to gather information from the Services or users without authorization (including "web bugs," tracking pixels, or similar technologies);
  • interfere with, disrupt, or overload the Services or any networks or systems connected to the Services;
  • harass, intimidate, threaten, or abuse our employees, contractors, or agents who provide the Services;
  • attempt to circumvent restrictions, eligibility checks, geographic controls, rate limits, or other measures that limit access to the Services or particular features;
  • copy, modify, translate, or create derivative works from the Services or any software component, except to the extent expressly permitted by applicable law;
  • reverse engineer, decompile, or disassemble any part of the Services, except where such restriction is prohibited by applicable law;
  • use or launch any unauthorized script, tool, or software designed to access, manipulate, or interact with the Services (including cheat utilities, offline readers, or unauthorized clients);
  • use a purchasing agent or intermediary to place orders in a manner intended to avoid limits, checks, fees, or controls;
  • create accounts by automated means, under false pretenses, or using misleading information, or collect usernames/emails to send unsolicited communications;
  • use the Services or Content to compete with Tradence, or to operate a revenue-generating service based on the Services or Content without our written consent; or
  • sell, assign, license, or otherwise transfer your account, profile, or access rights to any other person.

9. USER CONTENT

The Services may allow you to post, upload, submit, transmit, publish, or otherwise make available content and materials, including text, messages, images, videos, audio, comments, reviews, suggestions, and certain personal information (collectively, "User Content"). User Content may be visible to other users and, depending on where it is posted, may also be accessible outside the Services (including through third-party platforms or sharing features).

You understand that any User Content you choose to make available through public areas of the Services may be treated as non-confidential and non-proprietary. You are solely responsible for your User Content and for any consequences of posting or sharing it.

By creating, posting, or sharing User Content, you represent and warrant that:

  • your User Content, and Tradence’s and other users’ use of it as permitted by these Terms, does not and will not infringe or misappropriate any intellectual property or proprietary rights of any third party (including copyright, trademark, patent, trade secret, or moral rights);
  • you own the User Content or have all necessary rights, licenses, permissions, and consents to submit it and to authorize its use as contemplated by the Services and these Terms;
  • if your User Content includes any identifiable person, you have obtained any required permissions, releases, or consents to use that person’s name, image, or likeness in connection with the Services;
  • your User Content is not false, deceptive, or misleading;
  • your User Content does not include unsolicited promotions, advertising, spam, mass solicitations, pyramid schemes, or similar conduct;
  • your User Content is not unlawful, obscene, excessively violent, harassing, threatening, defamatory, hateful, or otherwise objectionable;
  • your User Content does not ridicule, shame, intimidate, or abuse any person or group;
  • your User Content is not used to harass, threaten, or incite violence against any person or class of people;
  • your User Content does not violate any applicable laws, regulations, or rules, including those relating to privacy, publicity rights, and protection of minors;
  • your User Content does not contain or link to materials that exploit or endanger minors, including any content prohibited by laws addressing child sexual abuse material; and
  • your User Content does not otherwise violate these Terms or encourage conduct that would violate these Terms or applicable law.

Any use of the Services that violates this section may be treated as a material breach of these Terms and may result in removal of User Content, restriction of features, suspension, or termination of your account.

10. LICENSE TO USER CONTENT

When you submit, post, publish, transmit, or otherwise make available any Contributions (including by linking your account to third-party social platforms where such linking is supported), you grant Tradence a license to use that content as described in this section. You confirm that you have the necessary rights to grant this license.

Specifically, you grant Tradence a worldwide, non-exclusive, royalty-free, fully paid, transferable, and sublicensable license to host, store, reproduce, adapt, modify, translate, format, publish, distribute, communicate, publicly display, and publicly perform your Contributions, in whole or in part, in any media and through any channels, for purposes connected with operating, improving, securing, and promoting the Services and related Tradence offerings. This includes the right to create derivative works from your Contributions, and to incorporate your Contributions into other materials as reasonably necessary to provide the Services.

Where your Contributions include a name, username, image, likeness, voice, company name, or branding that you provide, you agree that Tradence may use those elements solely in connection with displaying and distributing the Contributions and operating or marketing the Services, unless you and Tradence agree otherwise in writing.

To the extent permitted by applicable law, you waive (or agree not to assert) any moral rights or similar rights you may have in your Contributions, to the extent necessary for us to use the Contributions as described in these Terms.

Ownership. You keep ownership of your Contributions. Nothing in these Terms transfers ownership of your Contributions to Tradence. However, the license you grant in this section allows us to use your Contributions to operate the Services as described above.

Your responsibility. You are solely responsible for your Contributions and for any statements, claims, or representations contained in them. Tradence does not endorse user-generated content and is not responsible for content posted by users to the extent permitted by applicable law.

Moderation. Tradence may, at its discretion, review, remove, edit, restrict, re-order, or re-categorize Contributions, and may do so at any time and for any reason (including to enforce these Terms, protect users, comply with legal obligations, or maintain the quality and integrity of the Services). We are not required to monitor Contributions and do not guarantee that objectionable content will be removed.

11. REVIEW AND FEEDBACK RULES

The Services may include areas where users can submit ratings, reviews, or other feedback. If you post a review or rating, you agree that it will be fair, honest, and compliant with these Terms.

Reviews and ratings must meet the following requirements:

  • your review must reflect genuine, first-hand experience (where applicable);
  • you must not include profanity that is excessively offensive, or content that is abusive, hateful, threatening, or harassing;
  • you must not include discriminatory content or slurs based on religion, race, ethnicity, national origin, gender, age, disability, sexual orientation, or any other protected characteristic;
  • you must not encourage, admit, or promote illegal activity;
  • you must not post reviews in bad faith, including on behalf of competitors or with the intent to manipulate reputations;
  • you must not present your review as a legal determination or accuse others of crimes as a statement of fact without a reliable basis;
  • you must not post false, misleading, or deceptive statements; and
  • you must not coordinate or organize campaigns to influence reviews or ratings, whether positive or negative.

Moderation. Tradence may, at its discretion, review, approve, reject, remove, or edit any review or rating, and we may do so without notice. We are not required to screen reviews, and we do not guarantee that reviews will be accurate, complete, or appropriate.

No endorsement. Reviews reflect the views of the users who post them. They do not represent the views of Tradence or any of our affiliates, partners, or service providers, and Tradence does not endorse any review.

License. By submitting a review or rating, you grant Tradence a worldwide, non-exclusive, royalty-free, fully paid, transferable, and sublicensable license to use, reproduce, modify, translate, publish, display, perform, distribute, and otherwise make available the content of your review in connection with the Services (including marketing and promotional use), in any media formats and through any channels.

12. MOBILE APP LICENSE

Use license

If you access the Services through the Tradence mobile application (the "App"), Tradence grants you a limited, revocable, non-exclusive, non-transferable license to download, install, and use the App on devices that you own or control, solely for your personal use (or your organization’s internal business use) and only in accordance with these Terms and any applicable app-store rules.

You must not, and must not allow any third party to:

  • reverse engineer, decompile, disassemble, decrypt, or attempt to derive the source code of the App, except to the extent such restriction is prohibited by applicable law;
  • modify, adapt, translate, enhance, or create derivative works from the App;
  • use the App in a manner that violates applicable laws, rules, or regulations;
  • remove, obscure, or alter any proprietary notices (including copyright, trademark, or other notices) included in or displayed by the App;
  • use the App for purposes outside its intended functionality, including operating a revenue-generating service based on the App, unless expressly permitted by Tradence in writing;
  • make the App available over a network in a way that allows multiple users or devices to use it simultaneously, except as permitted by the App’s intended features;
  • use the App to develop, market, or distribute a product or service that competes with or substitutes for the App or the Services; or
  • use the App to send unauthorized automated requests, spam, or unsolicited commercial communications.

App Store terms (Apple and Google)

If you download the App from the Apple App Store or Google Play (each, an "App Store"), the following additional terms apply:

  • this license is limited to using the App on a device that runs the applicable operating system and in accordance with the App Store’s usage rules and terms;
  • Tradence (not the App Store) is responsible for providing support and maintenance for the App, to the extent required by applicable law or expressly stated by Tradence;
  • if the App does not conform to any applicable warranty requirements (if any), you may notify the relevant App Store. To the extent permitted by the App Store’s terms, the App Store may provide a refund of any purchase price paid for the App, if applicable, and the App Store will have no further warranty obligations with respect to the App;
  • you represent and warrant that your download and use of the App will comply with all applicable laws and restrictions, including trade, sanctions, and export control laws where they apply;
  • you must comply with applicable third-party terms when using the App (for example, your mobile carrier’s terms and data plan requirements); and
  • you acknowledge that the App Stores and their affiliates are third-party beneficiaries of this section and may enforce it against you as permitted by their terms.

13. SOCIAL NETWORK LINKS

The Services may allow you to connect your Tradence account with accounts you hold with third-party platforms or service providers (each, a "Third-Party Account"). You may connect a Third-Party Account by:

  • entering your Third-Party Account login details through the connection flow supported by the Services; or
  • authorizing Tradence to access the Third-Party Account, where permitted by that provider’s terms and your settings on the Third-Party Account.

By connecting a Third-Party Account, you represent and warrant that you have the right to share the relevant credentials and/or grant the requested permissions, and that doing so does not violate your agreement with the third-party provider. Tradence is not responsible for any fees charged by third-party providers or any limitations imposed by them.

When a Third-Party Account is connected, we may access and receive certain information made available by the third-party provider (such as profile details or other data you permit) and may store and display that information through the Services (the "Social Content") to enable the connection features. The scope of information we receive depends on the provider, the permissions you grant, and your privacy settings on that provider.

If a third-party provider becomes unavailable, changes its policies, or revokes our access, Social Content may no longer be accessible through the Services. Your relationship with any third-party provider is governed solely by your agreement with that provider, and Tradence does not control or endorse third-party services or their content.

You may disconnect a Third-Party Account at any time through your account settings (if available) or by contacting us. After disconnection, we will take reasonable steps to remove information obtained from the Third-Party Account from our systems, except where retention is necessary for legitimate business purposes (for example, account integrity and security), compliance with legal obligations, or where certain details (such as a username or profile image) have become associated with your Tradence profile.

If you choose to enable contact-discovery or similar features, you acknowledge that the Services may reference contact information from a connected Third-Party Account or your device (where you grant permission) to help identify contacts who may already use the Services. We do not review Social Content for accuracy, legality, or non-infringement, and we are not responsible for Social Content provided by third parties.

14. THIRD-PARTY SERVICES AND MATERIALS

The Services may include links to websites, platforms, or services operated by third parties ("Third-Party Websites"). The Services may also display, reference, or make available content, materials, software, applications, or other items provided by third parties ("Third-Party Content").

Tradence does not control, and is not responsible for, Third-Party Websites or Third-Party Content. We do not review, monitor, or verify Third-Party Websites or Third-Party Content for accuracy, legality, safety, appropriateness, or completeness. Links or integrations are provided for convenience only and do not imply endorsement, approval, or affiliation.

If you choose to access a Third-Party Website, install or use Third-Party Content, or engage with third-party products or services, you do so at your own risk. Once you leave the Services (or use a third-party feature), the third party’s terms, policies, and privacy practices will apply. You should review those terms and policies before providing information, installing software, or making any purchases.

Any transactions you enter into through Third-Party Websites are solely between you and the third party. Tradence is not responsible for orders, payments, deliveries, refunds, disputes, or any other issues arising from third-party transactions.

To the maximum extent permitted by applicable law, you agree that Tradence will not be liable for any loss, damage, or harm arising from your access to or use of Third-Party Websites or Third-Party Content, or from your interactions or transactions with third parties.

15. ADMINISTRATION OF THE SERVICES

We may take actions we consider appropriate to operate, protect, and maintain the Services. This may include, without limitation, the right (but not the obligation) to:

  • monitor use of the Services to help detect violations of these Terms, misuse, fraud, or security issues;
  • investigate suspected breaches of these Terms or unlawful activity and take steps we consider appropriate, which may include cooperating with competent authorities where required or permitted by law;
  • restrict, suspend, or terminate access to the Services (or specific features), including limiting availability by user, account, device, IP address, location, or other criteria;
  • remove, block, or disable access to User Content or other materials where we reasonably believe it violates these Terms, infringes rights, creates risk, or may harm users or the Services;
  • remove or limit files, data, or content that are excessively large, impose an unreasonable load on our systems, or interfere with the performance or security of the Services; and
  • otherwise manage the Services to protect our rights, property, users, and the integrity and proper functioning of the Services.

Any action we take under this section may be implemented without prior notice where permitted by applicable law, and we are not liable for taking (or not taking) any such actions to the extent permitted by law.

16. PRIVACY

We take privacy and data security seriously. Please review our Privacy Policy at: https://tradence.com/en/privacy . The Privacy Policy explains how we collect, use, share, and protect personal information. By using the Services, you acknowledge and agree that the Privacy Policy forms part of these Terms.

International data transfers. The Services are operated and supported from Seychelles, and information we collect may be processed and stored in Seychelles or in other locations where we or our service providers maintain facilities. If you access the Services from outside Seychelles, you understand that your information may be transferred to, stored in, and processed in jurisdictions that may have data protection rules different from those in your location. Where required by applicable law, we will take appropriate measures to support such transfers.

17. TERM, SUSPENSION, AND TERMINATION

These Terms remain effective for as long as you access or use the Services.

WITHOUT LIMITING ANY OTHER RIGHTS WE MAY HAVE UNDER THESE TERMS OR APPLICABLE LAW, TRADENCE MAY, IN ITS DISCRETION AND WHERE PERMITTED, RESTRICT, SUSPEND, OR TERMINATE YOUR ACCESS TO THE SERVICES (IN WHOLE OR IN PART), OR CLOSE YOUR ACCOUNT, WITH OR WITHOUT NOTICE.

We may take these actions where we reasonably believe it is necessary to: (i) enforce these Terms; (ii) comply with applicable law or requests from competent authorities; (iii) address security risks, suspected fraud, prohibited activity, or unauthorized access; (iv) prevent harm to users, third parties, or the Services; or (v) protect Tradence’s rights, property, and operations.

Where notice is required by applicable law, we will provide it in the manner required. Suspension or termination may limit your access to features and may affect information or content associated with your account, subject to applicable law and our record-retention obligations.

IF YOUR ACCOUNT IS SUSPENDED OR TERMINATED, YOU MUST NOT CREATE A NEW ACCOUNT OR ACCESS THE SERVICES USING AN ALIAS, FALSE INFORMATION, OR ANOTHER PERSON’S ACCOUNT, UNLESS TRADENCE EXPRESSLY AUTHORIZES YOU IN WRITING.

We may take additional steps we consider appropriate in response to violations of these Terms or applicable law, including cooperating with competent authorities and seeking civil remedies, where permitted by law.

18. CHANGES TO THE SERVICES

Tradence may update, modify, suspend, or discontinue any part of the Services at any time, including features, content, availability, and supported functionality. We may also introduce limits, remove features, or change fees/pricing where applicable.

WE MAY CHANGE OR WITHDRAW THE SERVICES (IN WHOLE OR IN PART) AT ANY TIME, AND WE ARE NOT OBLIGATED TO MAINTAIN, SUPPORT, OR UPDATE ANY PARTICULAR FEATURE OR CONTENT.

The Services may occasionally be unavailable due to maintenance, upgrades, technical issues, third-party outages, or events outside our reasonable control. Interruptions may result in delays, errors, or limited access.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRADENCE WILL NOT BE LIABLE FOR ANY LOSSES OR DAMAGES ARISING FROM ANY INTERRUPTION, DELAY, ERROR, SUSPENSION, OR DISCONTINUANCE OF THE SERVICES, OR FROM YOUR INABILITY TO ACCESS OR USE THE SERVICES AT ANY TIME.

Nothing in these Terms requires us to provide updates, patches, releases, or ongoing support for the Services, except to the extent required by applicable law.

19. APPLICABLE LAW

These Terms, and any dispute or claim arising out of or relating to them or the Services, are governed by and will be interpreted in accordance with the laws of the Republic of Seychelles, without giving effect to any conflict of laws principles that would require the application of another jurisdiction’s laws.

YOU AND TRADENCE AGREE THAT THE COURTS OF THE REPUBLIC OF SEYCHELLES WILL HAVE EXCLUSIVE JURISDICTION OVER ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.

20. DISPUTE HANDLING

If you have a concern or dispute related to the Services, we encourage you to contact us first so we can try to resolve it informally.

UNLESS OTHERWISE REQUIRED BY APPLICABLE LAW, ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL BE BROUGHT EXCLUSIVELY IN THE COMPETENT COURTS OF THE REPUBLIC OF SEYCHELLES.

Nothing in these Terms limits Tradence’s ability to seek interim, injunctive, or other equitable relief in any jurisdiction where such relief is necessary to protect our rights, enforce these Terms, prevent misuse of the Services, or preserve the status quo pending resolution of a dispute.

21. UPDATES AND CORRECTIONS

The Services may occasionally include typographical errors, outdated information, inaccuracies, or omissions (including relating to descriptions, pricing, fees, availability, supported features, or other content). We may correct, update, or remove information at any time.

WE MAY MAKE CHANGES OR CORRECTIONS TO THE SERVICES WITHOUT PRIOR NOTICE, INCLUDING TO ADDRESS ERRORS OR TO KEEP INFORMATION CURRENT.

22. DISCLAIMERS

The Services are provided for general information and platform access purposes only. The Services may include content supplied by Tradence, users, or third parties, and may change over time.

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. YOU USE THE SERVICES AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRADENCE DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRADENCE IS NOT RESPONSIBLE FOR: (1) ERRORS OR INACCURACIES IN CONTENT; (2) ANY LOSS, DAMAGE, OR INJURY ARISING FROM YOUR ACCESS TO OR USE OF THE SERVICES; (3) UNAUTHORIZED ACCESS TO OR USE OF SYSTEMS OR DATA; (4) ANY INTERRUPTION, DELAY, OR FAILURE IN TRANSMISSION; (5) MALWARE OR OTHER HARMFUL CODE INTRODUCED BY THIRD PARTIES; OR (6) ANY LOSS OR DAMAGE ARISING FROM CONTENT MADE AVAILABLE THROUGH THE SERVICES.

Third-party offerings. The Services may reference, link to, or display third-party products, services, or content. Tradence does not endorse, guarantee, or assume responsibility for third-party offerings, and Tradence is not a party to transactions between you and third-party providers. You should use caution and review third-party terms and policies before engaging with any third-party service or making any purchase.

23. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRADENCE (INCLUDING ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, AND SERVICE PROVIDERS) WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRADENCE’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) WILL NOT EXCEED THE AMOUNT YOU PAID TO TRADENCE FOR THE RELEVANT SERVICES IN THE ONE (1) MONTH IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations of liability or exclusions of damages. To the extent those restrictions apply to you, some of the limitations in this section may not apply, and you may have additional rights under applicable law.

24. INDEMNITY

YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS TRADENCE, ITS AFFILIATES, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AND SERVICE PROVIDERS FROM AND AGAINST ANY AND ALL CLAIMS, LIABILITIES, DAMAGES, LOSSES, AND EXPENSES (INCLUDING REASONABLE LEGAL FEES) ARISING OUT OF OR RELATING TO: (1) YOUR USER CONTENT OR CONTRIBUTIONS; (2) YOUR ACCESS TO OR USE OF THE SERVICES; (3) YOUR VIOLATION OF THESE TERMS; (4) YOUR BREACH OF ANY REPRESENTATION OR WARRANTY MADE UNDER THESE TERMS; (5) YOUR VIOLATION OF ANY THIRD-PARTY RIGHTS (INCLUDING INTELLECTUAL PROPERTY, PRIVACY, OR PUBLICITY RIGHTS); OR (6) YOUR MISCONDUCT OR UNLAWFUL ACTS IN CONNECTION WITH THE SERVICES OR OTHER USERS.

Tradence may, at its option, assume exclusive control of the defense and settlement of any matter otherwise subject to indemnification by you. If we do so, you agree to cooperate reasonably with our defense, and you remain responsible for the costs and expenses to the extent permitted by applicable law. You may not settle any claim that imposes any admission of fault or obligation on Tradence without our prior written consent.

We will use reasonable efforts to notify you of any claim subject to indemnification once we become aware of it, but failure to provide prompt notice will not relieve you of your obligations except to the extent you are materially prejudiced by the delay.

25. DATA WE STORE

We store and process user, technical, and usage data to operate and improve the Services. See our Privacy Policy.

28. GENERAL TERMS

These Terms and any posted policies/notices are the entire agreement regarding the Services.

NO WAIVER. ASSIGNMENT PERMITTED. SEVERABILITY APPLIES. NO PARTNERSHIP/AGENCY. FORCE MAJEURE APPLIES. THESE TERMS WILL NOT BE CONSTRUED AGAINST TRADENCE FOR DRAFTING THEM.

29. CLASS ACTION WAIVER

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL CLAIMS MUST BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL PROCEEDING. UNLESS YOU AND TRADENCE BOTH AGREE IN WRITING, NO JUDGE OR ARBITRATOR MAY CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS OR PRESIDE OVER ANY FORM OF CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. IF A COURT DETERMINES THAT ANY PART OF THIS SECTION IS UNENFORCEABLE AS TO A PARTICULAR CLAIM FOR RELIEF, THEN THAT CLAIM (AND ONLY THAT CLAIM) WILL BE SEVERED, AND THE REMAINDER OF THIS SECTION WILL CONTINUE IN FULL FORCE TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
